Introduction
These General Terms of Service (“Terms”) govern your use of the Swyft Valet and Swyft Parking services provided by Automated Mobile Technologies LLC (“AMT”) commercially known as Swyft Valet and Swyft Parking. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Description of Services
AMT provides a fully automated valet parking system that includes software, hardware, and cloud-based services. Clients may select hardware for purchase or utilize hardware as a service, and choose features of the Swyft Valet and Swyft Parking software to be used at their facilities. The services also include a fully automated billing and accounting system.
2. Service Fees
Clients will pay a one-time setup fee and a monthly fee for the software and services, based on their selections. Monthly fees are invoiced and payable in advance at the beginning of each month. AMT reserves the right to modify fees after the first year, with at least 30 days’ notice to the Client.
3. Payment Processing
AMT may act as the merchant for all billing, processing all credit/debit card transactions for parking on behalf of the Client, collecting payments, and remitting net amounts to the Client through a processing intermediary. Clients are responsible for all chargebacks, which will be withheld from the next payment due.
4. License
AMT grants a limited, non-exclusive, non-transferable license to access and use the software solely on a cloud-based server for the Client’s internal business purposes. Clients must comply with the terms of this Agreement to maintain the license.
5. Proprietary Rights
AMT owns all rights, title, and interest in the software and services, including related technology and trade secrets. Unauthorized disclosure, use, or copying of any portion of the software or services may result in legal action.
6. Data and Privacy
Data collected by AMT in connection with the use of the software will be used to perform its obligations under this Agreement. Data collection is subject to AMT’s Privacy Policy, which is available on our website.
7. Support Services
AMT provides remote support services for the system and equipment on business days between 9:00 AM and 6:00 PM (Eastern Time), Monday through Friday. Mission Critical Issues, which prevent the location from generating revenue, may receive after-hours support for a fee.
8. Warranties and Disclaimers
AMT offers no other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. The software and services are provided “as-is” and “with all faults.”
9. Limitation of Liability
In no event shall AMT be liable for any indirect, consequential, incidental, special, or punitive damages arising out of the use or inability to use the software or services. AMT’s maximum cumulative liability shall not exceed the payments made for services in the two months prior to a claim.
10. Term and Termination
The initial term of this Agreement is one year, automatically renewing for successive one-year terms unless terminated by either party with 30 days’ notice. AMT may terminate the Agreement immediately for breach or non-compliance. Upon termination, all outstanding payments must be settled within 15 days.
11. General Provisions
- AMT may include your venue name and location in its promotional materials.
- The parties are independent contractors; this Agreement does not create a partnership or joint venture.
- Neither party shall be liable for failure to perform due to conditions beyond their control (e.g., acts of God, strikes).
- This Agreement is governed by the laws of the State of Florida, with any disputes resolved in Broward County.
- AMT may update this Agreement from time to time, with continued use of services deemed acceptance of changes.
- If any provision of this Agreement is found to be invalid, a valid provision that most closely matches the intent of the original shall be substituted.
